Terms of Service

1. Agreement to Terms

By accessing or using the services provided by Betholive Designs("we", "our", or "us"), including our website at betholive.com, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services

Betholive Designs provides the following digital services:

• Brand Design: Logo design, brand identity, visual guidelines, and brand strategy
• Website Development: Custom website design, development, and maintenance
• App Development: Mobile and web application development for iOS, Android, and cross-platform
• Business Software: Custom software solutions, ERP systems, and business tools

3. Project Engagement

3.1 Project Brief

All projects begin with a detailed project brief submitted through our application forms. The brief serves as the foundation for scope, deliverables, and pricing. You are responsible for providing accurate and complete information in your project brief.

3.2 Quotation & Agreement

After reviewing your brief, we will provide a quotation outlining scope, deliverables, timeline, and pricing. Work begins only after both parties agree to the terms and an initial deposit is received (where applicable).

3.3 Revisions

Each project includes a reasonable number of revision rounds as agreed upon in the project scope. Additional revisions beyond the agreed scope may incur extra charges.

4. Payment Terms

• Prices are quoted in Uganda Shillings (UGX) unless otherwise agreed
• A deposit of 30–50% is typically required before work commences
• Final payment is due upon project completion and before delivery of final files
• Invoices are payable within 14 days of issue unless otherwise stated
• Late payments may incur a 2% monthly interest charge
• We accept mobile money, bank transfer, and other methods as agreed

5. Intellectual Property

5.1 Ownership

Upon full payment, you receive full ownership and rights to the final deliverables created specifically for your project. This includes logos, website code, app source code, and custom software.

5.2 Portfolio Rights

We reserve the right to showcase completed work in our portfolio, website, social media, and marketing materials unless you request otherwise in writing.

5.3 Third-Party Assets

Any third-party assets (stock photos, fonts, plugins, libraries) used in your project are subject to their respective licenses. We will inform you of any licensing requirements.

6. Client Responsibilities

You agree to:

• Provide timely feedback, content, and approvals to keep the project on schedule
• Ensure all content and materials you provide are owned by you or properly licensed
• Not use our services for any unlawful, fraudulent, or harmful purpose
• Maintain confidentiality of any login credentials we provide
• Communicate scope changes promptly so we can adjust timelines and pricing accordingly

7. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project. This includes business strategies, login credentials, technical specifications, and financial information. This obligation survives the termination of the engagement.

8. Credential Backup

With your consent, we may securely store project-related credentials (hosting logins, domain registrar access, CMS credentials, etc.) in our encrypted vault for maintenance and support purposes. You may request removal of stored credentials at any time.

9. Warranties & Limitations

• We warrant that all work will be performed professionally and to industry standards
• We provide a 30-day bug-fix warranty on websites, apps, and software after delivery
• We do not guarantee specific business outcomes (e.g., traffic, sales, or rankings) unless explicitly included in the project scope
• Our liability is limited to the total amount paid for the specific project in question

10. Cancellation & Refunds

• Either party may terminate the engagement with 7 days' written notice
• Upon cancellation, you will be invoiced for work completed to date
• Deposits are non-refundable once work has commenced
• If we cancel the project, any unused deposit will be refunded in full

11. Support & Maintenance

Post-delivery support and maintenance are available as separate agreements. Hosting, domain renewal, and third-party service costs are the client's responsibility unless included in a maintenance package.

12. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Republic of Uganda. Any disputes arising from these terms shall be resolved through negotiation first, and if necessary, through the courts of Uganda.

13. Changes to Terms

We reserve the right to update these Terms of Service at any time. Changes will be posted on this page with an updated date. Continued use of our services after changes constitutes acceptance of the revised terms.
